Terms of Use for Brands
Account, campaign, budget, content review and licence rules for brands.
1. Scope
These terms govern use of MyLaura by a brand or merchant. The operator is Linksta s. r. o., Fraňa Kráľa 21, 811 05 Bratislava – mestská časť Staré Mesto, Slovenská republika, Company ID 56972024, Tax ID 2122530245, VAT ID SK2122530245. The person creating the account confirms their authority to act for the brand and bind it to the accepted terms.
MyLaura provides tools for campaign design, creator selection, management, review, measurement and settlement. The advertising service itself and creator content are provided by the creator to the brand under the accepted campaign.
2. Brand account
The brand must provide truthful company, contact, billing and tax data, protect account access and designate only authorised users. It is responsible for their actions. MyLaura may require company or person verification for a risky or payment operation.
3. Campaign creation
- The brand sets the objective, audience, platforms, market, budget and timing.
- The brief must clearly specify formats, numbers of deliverables, required and prohibited claims, CTA, approval and licence.
- Before launch, remuneration must be clear: PPV, CPC, percentage commission, a fixed performance fee or a permitted combination of these.
- A material change to terms already accepted requires new confirmation by the creator.
4. Lawful products and claims
The brand warrants the lawfulness of the product, landing page, promotional claims, competitions, discounts and supplied materials. It must provide the creator with mandatory warnings and supporting materials for claims. It must not include a prohibited or dangerous product without prior express assessment by the platform and compliance with the law.
The brand must not require covert advertising, a fake review, discriminatory targeting, breach of social network rules or use of music or another work without rights.
5. Creator selection
MyLaura and Laura may recommend creators based on public metrics, category, audience fit, reliability and brand-safety data. A recommendation is not a guarantee of results. The brand decides on lawful, objective and non-discriminatory criteria.
Neither an invitation nor an accepted application may conceal material terms. Acceptance or rejection status is recorded and must not be displayed as an open invitation after a decision.
6. Budget, reservations and fees
The brand must ensure a sufficiently funded budget. MyLaura may reserve anticipated remuneration and fees upon creator acceptance, consume the budget based on verified performance and release unused reservations after settlement. A campaign must not rely on an amount exceeding the available budget.
Creator remuneration, platform fee, VAT and other items are displayed before a binding step. The platform fee may be charged on top of creator remuneration if campaign pricing specifies this. No old Linksta rate applies automatically; the parameters displayed and stored for the particular campaign are decisive.
7. Content review and response times
The brand must review content without undue delay using criteria supported by the brief. A rejection must state a specific reason or ratings and distinguish between technical error, non-compliance with the brief, legal risk and subjective preference.
Unless the campaign specifies a shorter period, the brand must respond within 2 working days of the content becoming available. Inaction may shift the schedule, extend the deadline or be escalated to an administrator; it does not mean automatic approval unless the particular campaign expressly provides for it.
8. Remuneration and PPV
For PPV, the brand sets a rate per 1,000 verified views, a tracking period and a positive maximum creator cap per Reel. The baseline at activation excludes previous views. The brand acknowledges dependence on public Instagram metrics obtained through Apify and possible delays during unavailability.
For a CPC or commission model, only validated events under the campaign are used. Guaranteed remuneration is paid only as the difference after actual eligible PPV/CPC remuneration is counted and all mandatory deliverables are fulfilled.
9. Content licences
The brand acquires only the licence displayed to the creator before acceptance. Unless otherwise stated, the licence covers non-exclusive organic reposting on its own channels during the campaign and reasonable archiving. Paid media, whitelisting, editing, sublicensing, product packaging or unlimited use require an express scope and any additional remuneration.
The brand grants the creator a limited licence to the logo, product photos and brief materials solely to carry out the campaign.
10. Cancellation and refunds
Before acceptance by a creator, the campaign may be cancelled and the unused budget released. After acceptance, the brand must pay for work already performed and usable, non-refundable costs and eligible performance; the exact amount depends on the stage and campaign terms.
If the creator fails to fulfil their obligations, the unused reservation is released after assessment of the evidence. No refund is provided for verified remuneration, a service already provided or a fee accrued under the law and the displayed terms.
11. Brand responsibility
- accuracy of the brief, product, claims, price, discount and destination URL;
- timely delivery of the product and campaign materials;
- lawful selection and use of personal data and creator content;
- timely, objective review and respect for frozen remuneration;
- compliance of its own subsequent advertising and analytics with the law and platforms.
12. Suspension
MyLaura may suspend a campaign or account for insufficient budget, a chargeback, fraud, an illegal product, repeated unfair rejections, a security risk or an order from an authority. Where possible, we will notify the reason and remedial steps.
13. Liability and availability
MyLaura does not guarantee the number of suitable creators, views, sales or uninterrupted availability of social networks. Linksta is liable for damage to the extent required by binding law and does not limit liability that cannot lawfully be excluded. The brand must compensate legitimate claims caused by an illegal product, brief or use of content beyond the licence.
14. Complaints and law
Complaints are submitted through MyLaura support or by post to the operator. A disputed review or transaction must be identified by the campaign identifier, creator, amount and evidence. The law of the Slovak Republic applies; mandatory court jurisdiction and consumer rights remain preserved.
15. Changes
We will notify material changes to the general terms in advance. Frozen parameters of accepted participation may be changed only with the affected parties’ consent, due to a legal obligation or through a necessary security measure that does not reduce remuneration already accrued.
